Please review the following conditions carefully. By signing up at StrategyAds.com, you indicate your acceptance of these terms and failure to use this Web site in accordance with them may subject you to severe civil and criminal penalties as well as the immediate termination of your account. Registration, etc. Registration. To use the StrategyAds Network as a Publisher, You must provide StrategyAds with truthful, accurate and complete registration information. If any such information changes, You must immediately update Your registration information. Verification. StrategyAds has the right to confirm or otherwise verify or check, in its sole determination, the truth and accuracy of any registration information at any time. Participation. To join the StrategyAds Network, You must be an individual who is at least 18 years old or an entity, and must provide at Your expense your own computer equipment and Internet access. The agreement is as follows: You place our advertiser's banners anywhere on your site as you see fit, or within non-spam emails. Only run approved banners and text and do NOT create your own banners or advertising text. Do NOT edit Advertiser's banners, images or text. Violation of this forfeits your commissions. We may email you concerning new advertiser programs. StrategyAds reserves the right to change any terms of this contract at any time, you will be e-mailed the change notices. Adult, racial, ethnic, political, illegal activity, hate or otherwise offensive content related sites are not allowed. StrategyAds reserves the right to terminate any Publisher for violating this condition. You will be paid your commissions prior to 45 days after the end of the month as long as we have received payments from the Advertisers. You will be paid your commissions, at such time as your account balance is $50 or more. StrategyAds can not guarantee payment to the Publisher if the Advertiser does not pay StrategyAds. All statistics are collected and calculated by StrategyAds, and will be the only valid stats used for determining commissions. Any page that contains StrategyAds links, banners, or code must be written in English and contain no explicit, vulgar or obscene language. As a Publisher, you can only have 1 account. You can list multiple domains in one account, but only one account is allowed. Self-referrals for Publisher or Advertiser accounts are strictly prohibited. You cannot SPAM. We will terminate your account on the first offense of SPAMMING. Do not send email to lists or groups that you do not have permission to send to. We cannot stress this enough, we WILL terminate your account on the first offense. You may place banners or links within your newsletters, in content of your website, or within other web related content. NOT ALLOWED: All other uses of banners or links, such as newsgroups, chat rooms, ICQ, message boards, banner networks, hit farms, counters, or guestbooks etc. are NOT allowed. NOT ALLOWED: Any placement of creative in a "Desktop" advertising scheme. This includes any and all 3rd party advertising platforms that use a desktop application to display ads in any form. NOT ALLOWED: Any display of an Advertiser window that isn't the result of a direct click by the end-user. Failure to abide by these rules could mean termination from a given Advertiser program or from StrategyAds completely with a complete forfeit of commissions. Fraud is a serious offense, and will be treated as such. Fraud is defined as any action that intentionally attempts to create sales, leads, or click-throughs using robots, frames, iframes, scripts, or manually "refreshing" of pages, for the sole purpose of creating commissions. ANY ATTEMPTED FRAUD OR FRAUD WILL RESULT IN MEMBERSHIP TERMINATION AND VOIDED COMMISSIONS. Offering incentives to users is not permitted. Incentives are defined as but are not limited to cash, rewards, points, prizes, contest entries. You cannot refer yourself as an Advertiser with StrategyAds and receive commission. StrategyAds takes fraud very seriously and attempts to eliminate any such activities that are suspect from their publishers. We retain the right to withhold any payments to publishers in the event of any suspected fraudulent activity until the incidents have been clarified. StrategyAds takes efforts to combat any fraud but there may been activities that go undetected. We therefore encourage our advertisers to carefully oversee their campaigns and report any suspicious activities that we may have missed. In the event that the advertiser doesn't review and report any suspicious findings within 30 days StrategyAds no longer bears responsibility for any fraudulent activities on the part of its publishers and any charges to the advertisers will be considered forfeited to StrategyAds. Your website must contain content, not just a list of links or advertisements, and must remain fully functional; no "under construction" signs. StrategyAds requires a guarantee that all content, products, and services on your website are legal and do not violate any copyright law. Editing, Deleting and Modification: We reserve the right in our sole discretion to change, edit or delete any documents, information or other content appearing on the Site. Indemnification: You agree to indemnify, defend and hold StrategyAds and their respective directors, officers, shareholders, employees, agents, attorneys, advertisers, and publishers harmless from any liability, loss, claim or expense, including reasonable attorneys' fees, related to your use of the Site or violation of this Agreement. Nontransferable: Your right to use the Site is not transferable. Any password or right given to you to obtain information or documents from the Site is not transferable. WARRANTY DISCLAIMER AND LIMITATION OF LIABILITY: THE PROGRAMS, INFORMATION AND OTHER CONTENT AVAILABLE FROM OR THROUGH THE SITE ARE PROVIDED "AS-IS," "AS AVAILABLE," AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, STRATEGYADS DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, (A) THAT ANY PROGRAMS OR INFORMATION AVAILABLE FROM OR THROUGH THE SITE, OR THE SITE ITSELF WILL BE ADVERTISERABLE OR FIT FOR A PARTICULAR PURPOSE, (B) THAT ANY PROGRAMS OR INFORMATION AVAILABLE FROM OR THROUGH THE SITE, OR THE SITE ITSELF WILL BE UNINTERRUPTED OR ERROR-FREE, (C) THAT DEFECTS WILL BE CORRECTED, (D) THAT THERE ARE NO VIRUSES OR OTHER HARMFUL COMPONENTS, (E) THAT THE SECURITY METHODS EMPLOYED WILL BE SUFFICIENT, (F) REGARDING CORRECTNESS, ACCURACY, OR RELIABILITY, OR (G) AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE PROGRAMS OR INFORMATION, OR AGAINST INFRINGEMENT. ALL 'INFORMATION' AND 'PROGRAMS' PROVIDED IN THE COURSE OF THIS AGREEMENT ARE PROVIDED WITH ALL FAULTS, AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT IS WITH YOU AS THE USER. WE AND OUR PUBLISHERD PARTIES HAVE NO LIABILITY WHATSOEVER FOR YOUR USE OF ANY INFORMATION OR OTHER CONTENT AVAILABLE FROM OR THOUGH THE SITE, OR THE SITE ITSELF.
